4. Payment Terms

- Deposits may be required prior to work commencement.
- Late payments may incur interest and may affect ongoing service delivery.
- Ownership of supplied hardware or software remains with Kurubit Systems until full payment is received.
5. Client Responsibilities
Clients must provide accurate information, access to premises, and necessary approvals for IT systems, hardware installations, or IoT deployments.
6. Warranties and Workmanship
- We warrant that all services will be performed to professional standards and comply with applicable regulations.
- Any faults arising from our workmanship within the warranty period will be corrected at no additional cost, provided they are not caused by misuse, unauthorised modifications, or third-party interference.
7. Limitation of Liability
Kurubit Systems Limited is not liable for:
- Indirect, incidental, or consequential losses.
- Delays caused by third-party suppliers, force majeure, or unforeseen site conditions.
- Data loss due to user error or failure to follow operational guidance.
8. Intellectual Property
All designs, documentation, software configurations, and technical materials remain our intellectual property unless expressly transferred in writing.
9. Confidentiality
We maintain strict confidentiality over client data, project specifications, and proprietary information. Both parties agree not to disclose sensitive information without prior consent.
10. Termination
Either party may terminate a contract in writing. Termination does not affect accrued rights, payments due, or intellectual property ownership.
11. Governing Law
These Terms are governed by the laws of England and Wales. Disputes fall under the jurisdiction of the courts of Swansea, Wales.
